These Terms of Service govern your use of the Bitnormous platform and services. By creating an account or using our services, you agree to be bound by these terms. If you have any questions, please contact us at support@bitnormous.com.
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Bitnormous website, platform, APIs, and related services (collectively, the "Services") operated by Bitnormous Ltd. ("Bitnormous", "we", "us", or "our").
Bitnormous provides cryptocurrency payment processing infrastructure that enables merchants to send and receive cryptocurrency payments as part of their business operations. Our Services include payment APIs, checkout solutions, wallet infrastructure, settlement processing, and related tools.
By registering for, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
2. Definitions
"Account"
means your registered Bitnormous merchant account through which you access the Services.
"API"
means the application programming interface made available by Bitnormous to integrate with the Services.
"Blockchain"
means the public distributed ledger on which cryptocurrency transactions are recorded.
"Cryptocurrency"
means digital assets supported by Bitnormous, including Bitcoin, Ethereum, USDC, USDT, and other cryptocurrencies we may support from time to time.
"Fiat Currency"
means government-issued currency such as USD, EUR, GBP, or NGN.
"KYC/AML"
means Know Your Customer and Anti-Money Laundering compliance procedures required by applicable regulations.
"Transaction"
means any payment or transfer of Cryptocurrency or Fiat Currency processed through the Services.
3. Eligibility and Account Registration
To use our Services, you represent and warrant that:
- You are a legally registered business entity or an individual at least 18 years of age.
- You have the full power and authority to enter into these Terms and bind your organization.
- You are not located in a jurisdiction where cryptocurrency transactions are prohibited or restricted.
- You are not a Restricted Person under applicable sanctions laws or Bitnormous policy.
- All information you provide during registration is accurate, complete, and up to date.
We reserve the right to accept, decline, or suspend any account application at our sole discretion, including to comply with legal, regulatory, or risk management requirements.
4. KYC, AML, and Compliance
Bitnormous is committed to complying with all applicable anti-money laundering (AML), counter-terrorist financing (CTF), and sanctions laws and regulations. As part of this commitment:
- You must complete our KYC verification process before using the Services, including providing government-issued identification, proof of address, business documentation, and beneficial ownership information.
- You authorize us to perform ongoing screening against global sanctions lists, politically exposed persons (PEP) databases, and adverse media sources.
- You agree to maintain accurate and current information in your account and promptly notify us of any material changes.
- You must implement and maintain your own AML compliance program proportionate to your business risk profile.
- We may delay, refuse, freeze, reverse, or block any Transaction where required by law, regulatory obligation, or our reasonable risk assessment.
Failure to comply with KYC/AML requirements may result in account suspension, termination, or referral to relevant authorities.
5. Use of Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Services for any illegal activity, including money laundering, fraud, sanctions evasion, terrorist financing, or tax evasion.
- Process transactions for prohibited businesses or activities, including but not limited to: illegal gambling, narcotics, weapons, counterfeit goods, child exploitation, ransomware, or any activity we reasonably deem high risk.
- Submit false, misleading, or fraudulent information to Bitnormous.
- Attempt to gain unauthorized access to any part of the platform, including other users' accounts or our systems.
- Reverse engineer, decompile, or disassemble any aspect of the Services.
- Interfere with or disrupt the integrity or performance of the Services.
We reserve the right to update our list of prohibited activities at any time and to suspend or terminate accounts that engage in such activities.
6. Cryptocurrency Transactions
The following terms specifically apply to cryptocurrency transactions processed through our platform:
- Irreversibility: Cryptocurrency transactions are generally irreversible once confirmed on the Blockchain. You acknowledge that Bitnormous cannot reverse or modify confirmed Blockchain transactions.
- Network Fees: You are responsible for all network fees (gas fees, miner fees) associated with cryptocurrency transactions. These fees are determined by the applicable Blockchain network and are not controlled by Bitnormous.
- Confirmation Times: Transaction confirmation times vary by Blockchain network and network congestion. Bitnormous is not responsible for delays in confirmation.
- Exchange Rates: Where we provide cryptocurrency-to-fiat conversion, exchange rates are determined at the time of processing and may fluctuate. You agree to the applicable rate before confirming any conversion.
- Supported Assets: We only support the specific cryptocurrencies and Blockchain networks listed on our platform. Sending unsupported assets may result in permanent loss.
- Wallet Addresses: You are solely responsible for entering correct wallet addresses. Transactions sent to incorrect addresses cannot be recovered.
7. Fees and Settlement
Our fees are set out in your pricing agreement or published fee schedule, as applicable. By using the Services, you agree to pay all applicable fees.
- Processing Fees: A percentage-based or flat fee per transaction as disclosed in your pricing plan.
- Settlement Fees: Fees applicable when settling funds to your linked bank account or external wallet.
- Network Fees: Pass-through Blockchain network fees as described in Section 6.
- Conversion Fees: Where applicable, fees for cryptocurrency-to-fiat conversion are included in the exchange rate spread.
Fees may be deducted from transaction proceeds or invoiced separately, as agreed. We reserve the right to modify fees with reasonable notice. Settlement timelines vary depending on the cryptocurrency, network, and fiat settlement method.
8. Security Obligations
You are responsible for maintaining the security of your account. You agree to:
- Maintain strong, unique passwords and enable multi-factor authentication where available.
- Safeguard your API keys, credentials, and access tokens. Do not share them with unauthorized parties.
- Promptly notify us of any suspected unauthorized access or security incident involving your account.
- Implement appropriate access controls for your employees and authorized users.
- Comply with our reasonable security requirements and best practice guidelines.
You are responsible for all activities that occur under your account credentials, except to the extent caused by our proven system failure. We recommend regular security reviews of your integration and access patterns.
9. Intellectual Property
All intellectual property rights in the Services, including software, APIs, documentation, trademarks, and branding, are owned by Bitnormous or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works of our intellectual property without our prior written consent.
10. Third-Party Services and Partners
We may use third-party service providers, including banking partners, liquidity providers, custody providers, and Blockchain infrastructure services, to deliver the Services. You acknowledge that:
- Outages, delays, or failures by third-party providers may affect service availability.
- Third-party terms, network rules, and regulatory requirements may apply to certain services.
- We may change providers where necessary to maintain service continuity or comply with legal obligations.
- Bitnormous is not liable for losses caused by third-party service failures, except as expressly provided in these Terms.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Bitnormous is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
- Our total aggregate liability arising from or relating to these Terms or the Services is limited to the total fees paid by you to Bitnormous in the three months preceding the event giving rise to the claim.
- We are not liable for losses caused by: (a) your breach of these Terms, (b) Blockchain network failures or delays, (c) regulatory actions, (d) force majeure events, or (e) third-party service provider failures.
- No limitation applies to liability that cannot be limited by law, including fraud, gross negligence, or willful misconduct.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BITNORMOUS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Cryptocurrency markets and Blockchain networks are inherently volatile and unpredictable, and we make no representations regarding the value, legality, or stability of any supported cryptocurrency.
Bitnormous is not a financial advisor, investment advisor, or broker. We do not provide investment, legal, or tax advice. You should consult with appropriate professional advisors before using our Services.
13. Suspension and Termination
We may suspend or terminate your access to the Services:
- If you breach any provision of these Terms.
- If required by applicable law, regulation, or regulatory authority.
- If we reasonably suspect fraudulent, illegal, or unauthorized activity.
- If your account is inactive for an extended period (12 months or more).
- For any reason upon 30 days' prior written notice.
Upon termination, you must cease using the Services, and any outstanding Transactions will be settled in accordance with applicable policies. We may retain your information as required by law or regulatory obligations. Outstanding fees remain payable.
14. Data Protection and Privacy
Our collection, use, and processing of your personal information is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Services, you consent to the data practices described in our Privacy Policy.
Each party must keep confidential information confidential and use it only to perform obligations under these Terms. This obligation survives termination of these Terms.
15. Complaints and Dispute Resolution
If you have a complaint, please contact our support team at support@bitnormous.com. We will investigate and respond within a reasonable timeframe.
If a dispute cannot be resolved through informal discussions, the dispute shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body. The arbitration shall be conducted in English, and the seat of arbitration shall be as specified in your Commercial Agreement or, if not specified, in the jurisdiction where Bitnormous is registered.
16. Governing Law
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction specified in your Commercial Agreement or, if not specified, the laws of the jurisdiction where Bitnormous is registered, without regard to conflict of law principles.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes via email or through our platform. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
